Terms and Conditions of Sale – Daisy Chain Merchandise Limited

  1. The quoted price for the goods may be varied by Daisy Chain Merchandise Limited and the current price for any goods ordered will be the price applicable at the date of placing the order ("the prevailing price"), which will be notified to the customer prior to acceptance by Daisy Chain Merchandise Limited. Any order received by Daisy Chain Merchandise Limited shall be deemed an offer to purchase the goods at the prevailing price. For the avoidance of doubt, notification of the prevailing price shall not be deemed to be a counteroffer.

  2. (a) Acceptance of any order shall be by means of written acknowledgment, whether or not it seeks to impose new conditions (unless clearly stated on its face to be a counteroffer).  (b) Daisy Chain Merchandise Limited shall not be obliged to accept any alteration or amendment to an order or its terms, but if such alteration or amendment is accepted, it shall only be valid if confirmed in writing via email, letter, or fax.

  3. All quoted prices are exclusive of: (a) Value Added Tax (VAT), which will be charged at the prevailing rate. (b) Postage and carriage costs, which will be charged at the rate applicable at the time of delivery. (c) The cost of preparing proofs, screens, jacquards, tools, masters, engraving, and any setup costs, which will be priced separately and shall remain the property of Daisy Chain Merchandise Limited.

  4. Descriptions in promotional material, campaigns, or circulars are provided solely for identification and shall not constitute a sale by description.

  5. Any samples exhibited are solely to enable the customer to judge the general quality and shall not constitute a sale by sample. The customer accepts responsibility for assessing the suitability of goods for their intended purpose.

  6. Goods must be inspected upon delivery. Any issues must be reported in writing within 7 days by emailing hello@daisychainmerchandise.com. Failure to notify shall deem the goods accepted and in accordance with the contract.

  7. Delivery shall be deemed to occur once the goods have been delivered to the address specified by the customer.

  8. Daisy Chain Merchandise Limited shall not be liable for loss, damage, or delay due to causes beyond its control, including but not limited to natural disasters, war, strikes, breakdowns, theft, cyber incidents, or regulatory actions.

  9. Unless otherwise agreed in writing, all goods must be paid for before dispatch. For custom or made-to-order items, payment is due upon acceptance of the order. Interest may be charged at 4% above NatWest Bank Base Rate (with half-yearly stops) on overdue accounts.

  10. Delivery of up to 10% more or less than the ordered quantity shall constitute fulfilment of the contract unless an exact quantity is specified by the customer.

  11. If the delivered quantity varies under Clause 10, the price shall be adjusted accordingly. "Prevailing price" shall include the adjusted price.

  12. (a) Risk passes to the customer upon delivery. (b) Title remains with Daisy Chain Merchandise Limited until full payment is received. (c) Until then, goods are held as bailee and must be stored clearly as Daisy Chain Merchandise Limited's property. (d) The company may repossess goods at any time before title passes. (e) All proceeds of resale must be held in trust and kept separate. (f) The company may pursue payment even if title hasn't passed.

  13. (a) The customer warrants they have the right to use any design/copy provided. (b) The customer: (i) Confirms ownership or proper permission for supplied material and indemnifies Daisy Chain Merchandise Limited against liability. (ii) Shall indemnify Daisy Chain Merchandise Limited against claims arising from the customer's actions. (iii) Accepts responsibility for legal compliance. (iv) If acting as an agent, is deemed the principal for all contractual purposes. (c) Daisy Chain Merchandise Limited reserves the right to make design changes as necessary to fulfil the order.

  14. These Terms & Conditions override any supplied by the customer. Changes must be agreed in writing and signed by both parties.

  15. Any notices will be deemed served if sent by prepaid post to the last known business or residential address or registered office, or via email to hello@daisychainmerchandise.com.

  16. This agreement contains the entire agreement between the parties. No warranty is given unless expressly stated.

  17. Lead Times: Production and delivery lead times begin only after final artwork is approved and payment received, unless otherwise agreed.

  18. Sustainability: Daisy Chain Merchandise Limited is committed to ethical and sustainable sourcing. Orders conflicting with this policy may be declined at the company’s discretion.

  19. Returns: Returns will only be accepted for defective goods and must be reported within 7 days of delivery. Customised or personalised items are non-returnable except where defective.

  20. This contract shall be governed by English law and disputes resolved in the Courts of England and Wales.
